AMC CEO Adam Aron publicly called on Robinhood to stop trading AMC Stock Token.
When Robinhood CEO Vlad Tenev asked, βWhatβs the concern?β, Aron replied that the concern was βalmost existential.β He said AMC had neither participated in nor approved the product's issuance and would ask outside securities counsel to examine whether it could be stopped. TwStalker
Robinhood's own documentation reveals a further contradiction.
Robinhood does not define the token as AMC stock either.

Robinhood Stock Token is not a US share itself, but a tokenized debt security issued by Jersey-based Robinhood Assets.
Its official documentation says the product provides economic exposure to the AMC share price but gives holders no legal or beneficial rights in AMC. Sales in the US are also restricted. Robinhood
At the same time, Robinhood says every Stock Token is backed 1:1 by actual underlying shares held by a US custody partner. The Final Terms for the AMC-linked product were also registered on August 12. Robinhood
That challenges the familiar explanation of tokenized stock as simply moving a share onto a blockchain.
A token being backed by shares is different from its holder being a shareholder.
An AMC shareholder has shareholder rights tied directly to the company, including voting rights.
By contrast, the issuer of Robinhood Stock Token is RHJ, not AMC. Rather than paying dividends directly in cash, the structure reflects them by purchasing additional underlying shares and adjusting the token's multiplier. If RHJ goes bankrupt, the collateral shares are sold and the proceeds paid to token holders in cash. Robinhood
The economic price exposure follows AMC, but the party against which holders have rights is not AMC.

The dispute raises a broader question than whether tokenization is good or bad.
If a new security tracking a company's share price can be created and traded globally without that company's consent, how much control can the company exercise over the use of its name and the expansion of its capital market?
Aron argues that Robinhood's structure separates token ownership from actual corporate fundraising. Robinhood's product structure, by contrast, rests on the premise that it offers price exposure through a separate security rather than selling AMC shareholder rights. Which legal position ultimately prevails has yet to be determined. Zamantika
During the dispute, AMC shares also surged approximately 21% in overnight trading. That price move, however, is not evidence supporting either legal position. The Block
My current view is that the tokenized stock market is becoming less a market for moving shares onchain and more one that separates price exposure from shareholder rights and recombines them into new financial products.
The economic significance of that distinction could change substantially if company-approved tokens begin to connect to actual shareholder registers and voting rights, or if courts or regulators decide that such third-party structures require corporate consent.
The next things to watch are not token trading volumes.
They are whether AMC takes legal action and whether Robinhood continues to offer AMC Stock Token in its current form.
